1. No Attorney-Client Relationship
The Trainor Fairbrook LOI Assistant, including the online questionnaire and annotations (collectively, "TF LOI Assistant"), and the form of letter of intent ("TF LOI") generated by the TF LOI Assistant have been prepared by Trainor Fairbrook for general informational purposes only and do not constitute advertising, a solicitation or legal advice. Neither the availability, operation, transmission, receipt nor use of the TF LOI Assistant or the TF LOI is intended to create, or constitutes formation of, an attorney-client relationship or any other special relationship privilege. By using the TF LOI Assistant, you agree that no attorney-client relationship is established between you and Trainor Fairbrook as a result thereof.
2. Privacy Matters
As part of the normal operation of the underlying software, the TF LOI Assistant temporarily stores information that you have entered (as well as a temporary copy of the TF LOI) with third-party software as a service providers so that the TF LOI Assistant can operate as designed. By using this tool, you confirm that you have authority to share any information that you furnish. We disclaim any and all liability in connection with the collection, use, or disclosure of the information furnished by you or otherwise collected by the TF LOI Assistant. Please note that we cannot guarantee the security of any information transmitted to us over the internet. Please also refer to the Terms of Use and Privacy Policy that generally govern the use of the Property Broadcast System.
3. Compliance with Laws
You agree to use the TF LOI Assistant in compliance with all applicable federal and state laws and regulations, and you agree to indemnify, defend and hold Trainor Fairbrook harmless from and against any and all claims, damages, losses, or obligations arising from your failure to comply with all federal and state laws and regulations.
4. Disclaimer of Liability
THE TF LOI ASSISTANT AND THE TF LOI ARE PROVIDED AS A GENERAL TOOL FOR YOUR CONVENIENCE ONLY. THE TF LOI ASSISTANT IS PROVIDED AS-IS WITHOUT REPRESENTATION OR WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, BY USING THE TF LOI ASSISTANT, YOU ACKNOWLEDGE THAT NO REPRESENTATION OR WARRANTY IS MADE THAT THE TF LOI ASSISTANT CONTAINS ALL OF THE TERMS APPLICABLE, DESIRABLE OR LEGALLY NECESSARY FOR THE TRANSACTION FOR WHICH IT IS INTENDED AND THAT YOU ARE ADVISED TO OBTAIN THE ADVICE OF LEGAL COUNSEL TO REVIEW THE LEGAL TERMS OF THE TF LOI PRIOR TO USING IN A TRANSACTION. YOU ASSUME COMPLETE RESPONSIBILITY AND RISK FOR USE OF THE TF LOI ASSISTANT AND THE TF LOI.
Trainor Fairbrook expressly disclaims all liability, loss or risk incurred as a direct or indirect consequence of the use of the TF LOI Assistant or the TF LOI. By using the TF LOI Assistant or the TF LOI, you waive any rights or claims you may have against Trainor Fairbrook in connection therewith. The information contained in the TF LOI Assistant and the TF LOI is provided only as general information and may not reflect the most current market and legal developments and may not address all relevant business or legal issues; accordingly, information in the TF LOI Assistant or the TF LOI is not promised or guaranteed to be correct or complete. Further, Trainor Fairbrook does not necessarily endorse, and is not responsible for, any third-party content that may be accessed through the TF LOI Assistant and the TF LOI.
Trainor Fairbrook, at its sole discretion, may choose to change the terms, conditions, and operation of the TF LOI Assistant and the TF LOI at any time, including termination of the TF LOI Assistant tool. Trainor Fairbrook, in its sole discretion, reserves the right to refuse to provide you access to the TF LOI Assistant and the TF LOI. You agree that Trainor Fairbrook shall not be liable to you for loss or damages that may result from our refusal to provide access to the TF LOI Assistant or the TF LOI.
5. Use by Agents
You agree that, if an agent or employee uses the TF LOI Assistant or the TF LOI on your behalf, you are bound as a principal by all terms and conditions herein.
